Job description

As General Counsel, you will have a strong academic background having trained with a respected law firm and will have gained post qualification experience working within a reputable commercial practice and team. You will commercially astute, proactive and passionate about the business.

You will work side by side with the company's Chief Executive providing guidance to both HR and Compliance, and advice on all legal matters. On matters that need to be referred externally, this person will be able to execute key decisions on where to refer the work to, therefore a well networked individual is essential.

The General Counsel, will have the opportunity to make an immediate contribution to my clients continuing growth and success. This attorney will support the company's legal functions globally, including corporate, licensing, sales channel, compliance, employment, privacy, data security, subsidiary and real estate matters, as well as a variety of complex and routine commercial transactions.
The successful candidate will work closely with various business groups, most notably Sales Engineering and Service Integration and will be directly involved in complex business transactions and in negotiating critical contracts.
We are seeking a motivated, smart, self-starter to take initiative and ownership of key projects, procedures, and transactions, and closely partner with business functions in my clients offices globally.

Key Responsibilities.
> While dealing with complex, significant matters that cut across legal and related areas, evaluate and weigh multiple inputs and impacts of decisions or course of action on the business.
> Support procurement and contracting activities: reviewing, drafting and negotiating equipment supply contracts, general engineering matters, subcontract arrangements, O&M and performance guarantee agreements, stakeholder and joint venture arrangements, and managing various related strategic operational issues; establishing and monitoring preferred legal terms and precedents for contracting activity.
> Anticipate issues and estimate risks strategically and Identify proactive solutions that will eliminate or mitigate risks.
> Negotiate agreements that minimise risks and maximise legal rights.
> Deal with external parties (customers, vendors, external counsel, etc)
> Advise executives on contract status, legal risks and business terms of various deals.
> Provide assistance with global joint ventures and strategic partnerships
> Build strong internal and external relationships.
> Advise business clients on various aspects of EU law.
> Review, draft and negotiate master services agreements, sales channel, and business development contracts for sales team and in coordination with contracts management team.
> Advise on relevant laws impacting commercial activities.
> Advise the business and Human Resources team on all employment law.
> Assist in development, education and enforcement of my client's corporate policies and compliance programs.
> Work collaboratively and responsively with a broad range of colleagues in USA, Asia and EMEA, ensuring productive relationships among legal, product, finance, human resources and operations to facilitate a coordinated team approach.
> Support and implement strategic initiatives that advance business, and supervise outside legal counsel.
